1. THE PLATFORM — ClosedBid.com and its verticals are a division of The Miccoli Group, operating strictly as a SaaS and marketing introduction platform. We are not a licensed broker, dealer, agent, or appraiser. We are not a party to any transaction.

2. WAITLIST — Registration is free and creates no financial obligation. It is not a binding contract.

3. BIDDING — A waitlist entry is not a bid. A contract is only formed when a formal sealed bid is submitted and accepted in writing. Lots may be withdrawn or repriced at any time. Highest qualifying bid above reserve wins. Letter of Intent (LOI) and a nonrefundable deposit (1-5% - depending on the reserve requirements) is due within 72 hours of winning notification.

4. FEES — A non-refundable listing fee from the seller/brokerage and does not charge a commission. Any additional unanticipated expenses incurred by Closedbid.com and The Miccoli Group would be charged at to the party where the expense incurred. All fees are disclosed in full before any agreement is signed.

5. LIABILITY — All due diligence is the sole responsibility of buyer and seller. The Miccoli Group accepts no liability for loss or disputes.

6. GOVERNING LAW — Province of Alberta, Canada. Disputes go to binding arbitration per the Arbitration Act (Alberta). No class actions.
